Terms of Service

These Terms of Service govern your access to and use of Agentics BOS — the business operating system provided by Agentics Technology Solutions Ltd. ("Agentics," "we," "us"), a company registered in Ghana. By creating an account or using the Service, you ("Customer," "you") agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business.

1. The Service

Agentics BOS is a multi-tenant business operating system available at app.agenticsbos.com, with marketing materials at agenticsbos.com. It includes accounting, payroll, procurement, CRM, inventory, and other modules. Specific modules and limits depend on your subscription tier.

2. Account & Eligibility

You must be at least 18 years old and acting on behalf of a legitimate business to use the Service. You are responsible for the accuracy of registration information and for safeguarding your password and access credentials. You must notify us immediately of unauthorised access.

3. Subscription Tiers & Fees

Agentics BOS is offered in three tiers (Tier 1 SME, Tier 2 Corporate, Enterprise). Pricing is communicated by quote and confirmed in your Order Form. Fees are payable in Ghana cedis, billed quarterly or annually as elected.

• Late payment: overdue accounts may have access suspended after 14 days' notice
• Price changes: we may revise pricing for renewal periods with at least 60 days' written notice
• Taxes: fees are exclusive of VAT, NHIL, GETFund, and other applicable Ghanaian taxes, which will be added per the VAT Act 2025 (Act 1151)

4. Customer Data & Customer Responsibility

You retain all rights to data you upload to or generate within Agentics BOS ("Customer Data"). You are responsible for:

• The accuracy, legality, and completeness of Customer Data
• Obtaining consents required to enter personal data of employees, suppliers, customers, or other third parties
• Backing up Customer Data through the export tools we provide (although we maintain our own backups for service continuity)
• Ensuring your use complies with Ghanaian law including the Data Protection Act 2012 (Act 843), Companies Act 2019 (Act 992), Labour Act 2003 (Act 651), VAT Act 2025 (Act 1151), and Income Tax Act 2015 (Act 896)

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Reverse-engineer, decompile, or attempt to extract source code
• Attempt to gain unauthorised access to other tenants' data or to our infrastructure
• Upload viruses, malware, or harmful code
• Resell, sublicense, or rent the Service without our written authorisation (white-label resale is governed by a separate Enterprise agreement)

6. Service Availability

We aim for 99.5% monthly availability. We may perform scheduled maintenance with at least 48 hours' notice, typically during weekend off-hours. We are not liable for downtime caused by force majeure, internet service provider outages outside our control, or your own connectivity issues.

7. Intellectual Property

Agentics retains all rights, title, and interest in the Service, including software, designs, documentation, trademarks, and the "Agentics," "Agentics BOS," and SHIELD AI marks. You receive a non-exclusive, non-transferable licence to use the Service for the duration of your subscription, in accordance with these Terms.

8. Confidentiality

Each party will protect the other's confidential information using the same care it uses for its own. Customer Data is treated as your confidential information. This obligation survives termination.

9. Statutory & Regulatory Compliance

Agentics BOS includes Ghana statutory tax engines (PAYE, SSNIT, NHIL, GETFund, Tier 2, withholding tax) and integrates with the Ghana Revenue Authority's E-VAT clearance gateway under the VAT Act 2025 (Act 1151). While we maintain these engines to current law:

• Tax law is complex and subject to interpretation; we do not provide legal or tax advice
• You remain responsible for the accuracy of your tax filings and statutory submissions
• You should consult qualified Ghanaian tax and legal advisors for material decisions

10. Limitation of Liability

To the maximum extent permitted by Ghanaian law:

• Neither party is liable for indirect, consequential, incidental, or punitive damages
• Our aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the claim
• This limit does not apply to: confidentiality breaches, indemnity obligations, IP infringement, or fraud

11. Indemnification

Each party will indemnify the other against third-party claims arising from its breach of these Terms, infringement of IP rights, or violation of law.

12. Term & Termination

These Terms remain in effect during your subscription. Either party may terminate:

• For material breach not cured within 30 days of written notice
• Immediately for non-payment after the grace period
• For convenience at the end of any subscription term, with at least 30 days' written notice

On termination, you have 60 days to export your data. After 60 days, we delete Customer Data subject to legal retention obligations.

13. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana. Disputes will first be addressed by good-faith negotiation. Failing resolution, disputes will be submitted to the courts of Accra, Ghana, except that we may seek injunctive relief in any court of competent jurisdiction to protect our IP or confidential information.

14. Force Majeure

Neither party is liable for failure to perform due to events beyond its reasonable control: natural disasters, war, civil unrest, government action, internet/utility outages, or pandemic.

15. Changes to These Terms

We may update these Terms by posting a revised version with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
